Worthington Federal Bank Online Banking and Bill Payment Service Agreement and Disclosure Statement
This Online Banking and Bill Payment Service Agreement and Disclosure Statement (this “Agreement”) includes the terms and conditions governing our online banking program (“Worthington Online”) and disclosures concerning online electronic funds transfers. YOU SHOULD KEEP THIS FOR YOUR RECORDS. The terms contained herein are in addition to the other agreements and disclosures that you received when you opened an account with Worthington Federal Bank. Should there be a discrepancy between the wording in this Agreement and other agreements that you have entered into with us, this Agreement will control as it relates to Worthington Online. In this Agreement, the words "we," "us," "our," or the "bank" mean Worthington Federal Bank. The words "you," "your," or "user" mean each person who has an interest in an account or relationship accessible through Worthington Online and any person you authorize to access one of your accounts. The word “person” means a legal entity including, but not limited to, a corporation, partnership, proprietorship, government agency, cooperative, or association. The word “individual” means a natural person.
- Use of Worthington Online Constitutes Acceptance of this Agreement
When you access your personal account(s) through Worthington Online or preauthorize bill payments through our Bill Payment Service (“Bill Pay”) or use any other service available, or you permit any other person to do so, you agree to the terms and conditions set forth in this Agreement. To access Worthington Online or Bill Pay you must first sign up for the service(s). Your Access ID and Password establishes your identity to us. All electronic communications that meet these requirements (including, but not limited to, transfers between your personal accounts and automatic debits from your account(s) pursuant to your bill payment instructions) will be deemed to be valid and authentic, and you intend and agree that those electronic communications will be given the same legal effect as written and signed paper communications. You agree that electronic copies of communications are valid and you will not contest the validity of the originals or copies, absent proof of altered data or tampering.
- Equipment/Software Needed for Worthington Online
To access Worthington Online you must use a personal computer with an internet connection with one of the browser versions listed below. Additionally, JavaScript and “cookies” must be enabled on your personal computer.

- Account Access
To access Worthington Online you must be an authorized user on at least one personal account with the bank. Accounts for which you have the right of withdrawal and that are identified by a common social security number will be linked together and accessible to you by using your Access ID and Password, unless you opt to block transfers to or from an account. You may access an unlimited number of personal accounts. Accounts requiring two signatures for withdrawal, certificates of deposit, and retirement accounts may be accessed only to view account information; no transfers or preauthorized automatic bill payments are permitted in connection with such accounts. You may also access loan accounts to view account information. Each Worthington Online user selects and maintains an individual Access ID and Password. Bill Pay access is only available to one Access ID per group of accounts identified by a common social security number. If Bill Pay access is elected by more than one user within a group of linked accounts, a single Access ID and Password must be selected and used to access Bill Pay.
The following types of personal accounts may be accessed through Worthington Online: Individual; Joint; Revocable Trust (where you are the trustee); Irrevocable Trust (where you are the trustee); Uniform Transfers to Minor Accounts (where you are the trustee); Retirement; and Loan. For other types of accounts please contact your branch office.
- Services
The following services are available through Worthington Online:
- You may obtain current account information, view account balances, transaction history and view images of checks that have been presented for payment.
- You may transfer funds between the deposit accounts you have set up with the same social security number, except certificates of deposit, accounts that require two signatures for withdrawal, and retirement accounts. You will receive a confirmation number for every transfer. Please make a note of it for future reference. Transfers made after 4:30 p.m. or on a weekend or holiday, will be processed on the following business day. NOTE: Federal law limits to six per statement cycle the number of withdrawals and transfers (or a combination of withdrawals and transfers of which only three may be by check or debit card) you may make from your savings deposit accounts and money market deposit accounts to another account of yours that we hold (including a checking account), or to a third party by means of a preauthorized automatic payment. Transfers via Worthington Online and Bill Pay are counted towards your total number of permitted transfers. You agree that you will not exceed the number of such transfers permitted by law.
- You may send us e-mail messages via Worthington Online but the messages will not be secure. Do not send an e-mail message to us containing confidential information such as an account number, your social security number or any information that you deem confidential. (All of our online forms, however, are secure and should be used, where appropriate, to transmit confidential information to us.) If you send us an e-mail message, we will be deemed to have received it on the following business day.
- Bill Pay allows you to pay bills automatically by preauthorizing payments from your designated primary checking account (“primary checking account”). There is a fee for Bill Pay. See the Bank’s Fee Schedule or request a copy from us.
- You may place a stop payment on an individual check or a range of checks. Refer to the Bank’s Fee Schedule for the current service charge associated with placing a stop payment on an account.
- Security
You agree to protect the security of your Access ID and Password in order to maintain secure communications and reduce fraud. Do not disclose your Access ID or Password to anyone else. Do not leave your personal computer unattended during a session of Worthington Online. Do not use a personal computer at a public place, such as a library, to access Worthington Online. Do not send confidential information to us via e-mail. We reserve the right to block access to your account(s) via Worthington Online if we reasonably believe your Access ID or Password have been or may be obtained, are being used, or may be used by an unauthorized individual.
Security is very important to Worthington Federal Bank. In order to activate your online banking service, you must complete an application. When you login for the first time, you will use the temporary Access ID and temporary Password that we will provide to you. You will then be prompted to choose a new Access ID and Password. Because your Password is used to access your account(s), you should treat it as you would any other sensitive personal data. You should carefully select a Password that is hard to guess. Your Password must be at least six (6) characters long. Keep your Password safe and secure. You should under no circumstances disclose your Password by telephone or to anyone claiming to represent the bank. Bank employees do not need your Password to help you with your online banking service.
The Access ID you select may be any combination of alpha/numeric characters, from six (6) to sixteen (16) digits.
The Password criteria are as follows:
The Password may be from 6 to 16 characters, there must be at least one alpha and one numeric character in the Password. For security purposes and for your protection you will be prompted to change your Password every 90 days, it can not be a repeat Password. If you forget your Password and attempt to sign on with an invalid Password, the system will lock you out after three attempts, please contact your local branch office or call (800) 239-8562 to reset your Password. Your session time is unlimited. However, if we detect no activity, your session will time out. This is to protect you and your account information.
- Bill Pay
The following terms and conditions apply to Bill Pay:
- You agree to schedule a preauthorized payment to a new payee at least 10 business days prior to the payment due date to allow us time to set up the new payee on our system. You agree to, thereafter, schedule preauthorized payments (not including any grace period):
- At least 5 business days before the payment due date if the payee can accept electronic Automated Clearing House (ACH) payment.
- At least 10 business days before the payment is due if the payee cannot accept ACH electronic payments.
- You agree to provide us with the correct payee name, address, account information and payment amount for all creditors to which we will make automatic preauthorized payments.
- You agree to maintain sufficient funds in your primary checking account to cover all preauthorized bill payments on the payment transaction date you have requested.
- You agree to pay an ACH returned item charge as set forth in the Fee Schedule that you received upon opening an account with us, as amended, when using Bill Pay if sufficient funds are not available to pay specified bills.
- You agree not to preauthorize any alimony, child support or other court-directed payments, tax payments, IRS payments, or other government payments. Online payments are only available to payees with a U.S. mailing address.
- You expressly authorize us to make payments to creditors as you direct from time to time. You also authorize us to debit the amount of such payments from your primary checking account without your signature and without any prior notice to you. You acknowledge that we require you to apply for Bill Pay via written authorization and you further acknowledge that prior to pre-arranging any bill payments via Bill Pay you have given us such written authorization on the form that we provided to you for that purpose.
- You will have a separate binding agreement with our third party vendor, Check Free. We will use reasonable effort to ensure that payments reach payees on time. We do not, however, have a duty to monitor payments. You understand that we cannot guarantee the time a payment will be posted by a creditor and you agree that we will not be liable to you for the failure of a payee to correctly credit a payment to you or post a payment in a timely way. We will use reasonable effort to see that creditors reverse any service fee or late charge that is related to a payment process error caused by us. You agree that we will not be responsible for any loss or penalty that you may incur due to lack of sufficient funds or other conditions that may prevent the withdrawal of funds from your primary checking account, including, but not limited to, delays in mail service, changes to the payee’s address or account number unless we have been advised of the change in advance, or any other circumstance beyond our control.
- You may contact your local branch or call us at (800) 239-8562 or e-mail us via our website at www.worthingtonfederalbank.com to determine whether we have made a preauthorized transfer from your primary checking account. If we cannot answer your inquiry immediately, we will respond to you within 2 business days.
- If you terminate Worthington Online or Bill Pay, we will make no further bill payments on your behalf. If you wish to terminate Bill Pay, it is your responsibility to notify us by calling or e-mailing us. If you wish to terminate Bill Pay, but do not contact us as instructed, we will continue to make any preauthorized payments that you have requested which could overdraw your primary checking account and charge you for the service if you are subject to service fees.
- Electronic Fund Transfer Disclosure
- Consumer Liability for Unauthorized Transfers
Tell us AT ONCE if you believe your Access ID or Password for use with Worthington Online or Bill Pay has been lost or stolen. Telephoning is the best way of keeping your possible losses down. You could lose all the money in your account (plus your maximum overdraft line of credit). If you believe your Access ID or Password has been lost or stolen, and you tell us within 2 business days after you learn of the loss or theft, you can lose no more than $50 if someone used your Access ID or Password without your permission.
If you do NOT tell us within 2 business days after you learn of the loss or theft of your Password, and we can prove we could have stopped someone from using your Password without your permission if you had told us, you could lose as much as $500.
Also, if your statement shows transfers that you did not make, tell us at once. If you do not tell us within 60 days after the statement was mailed to you, you may not get back any money you lost after the 60 days if we can prove that we could have stopped someone from taking the money if you had told us in time. If a good reason (such as a long trip or a hospital stay) kept you from telling us, we will extend the time periods. If you tell us orally, we may require that you send us your complaint or question in writing within 10 business days.
- Contact in the Event of Unauthorized Transfer
If you believe your Access ID and/or Password has been stolen or that someone has transferred or may transfer money from your account without permission, call your local branch or our home office at 1-800-239-8562, or write us at Worthington Federal Bank, 4040 Balmoral Drive, Huntsville, AL 35801.
- Business Days
For purposes of these disclosures, our business days are Monday through Friday. Saturday, Sunday and Holidays are not business days.
- Transfer Types and Limitations.
- Account Access
You may use your Access ID and Password to access your accounts via Worthington Online to transfer funds between your designated accounts and to access Bill Pay and to pay bills directly from your primary checking account in the amounts and on the days you request.
- Limitations on Frequency of Transfers
You may make an unlimited number of transfers to and from your designated accounts, for which you have unlimited withdrawal privileges, 24 hours a day, 7 days a week. The amount of such transfers is limited to the available balance up to $9,999, or to the available funds that are in your account.
- Fees
There is no fee for Worthington Online. There is no fee for Bill Pay for the first 90 days that you are enrolled in that service. After the first 90 days, however, you agree to pay us a monthly fee for Bill Pay as set forth in our Fee Schedule which you have received from us. If you would like an additional Fee Schedule, please contact your local branch, call us at (800) 239-8562 or e-mail us via our website at www.worthingtonfederalbank.com. We will deduct the fee from your primary checking account.
- Confidentiality
We will not disclose information about your account or the transfers you make to third parties, except under the following conditions: where it is necessary for completing transfers; in order to verify the existence and condition of your account for a third party, such as a credit bureau or merchant; in order to comply with government agency or court orders; or if you give us your written permission. For additional information on our privacy policies and procedures refer to our Privacy Policy and Practices that you received when you opened your account or that we mailed to you.
- Documentation
You will get a monthly account statement which will include your electronic funds transfers for that period.
- Preauthorized Payments.
- Right to Stop Payment and Procedure for Doing so
If you have told us in advance to make regular payments out of your account, you can stop any of these payments. Here’s how: Call us at (800) 239-8562, or write to us in time for us to receive your request 3 business days or more before the payment is scheduled to be made. If you call, we may also require you to put your request in writing and get it to us within 14 days after you call. We will charge you for each stop-payment order you give. Please refer to our Fee Schedule which you have received from us for the charge for a stop-payment order. If you would like an additional Fee Schedule, please call us at (800) 239-8562, or e-mail us via our website at www.worthigntonfederalbank.com. You may not stop payment on an electronic payment that has already been disbursed.
- Notice of Varying Amounts
If these regular payments may vary in amount the person you are going to pay will tell you, 10 days before each payment, when it will be made and how much it will be. (You may choose instead to get this notice only when the payment would differ more than by a certain amount from the previous payment, or when the amount would fall outside certain limits that you set.)
- Liability for Failure to Stop Payment of Preauthorized Transfer
If you order us to stop one of these payments 3 business days or more before the transfer is scheduled, and we do not do so, we will be liable for the amount of the payment.
- The Bank’s Liability
We, or our third-party service provider, acting as our agent, will use commercially reasonable effort in completing funds transfers from your account(s) on time according to your properly transmitted instructions. If we or our agent do not complete a transfer to or from your account on time or in the correct amount according to our agreement with you, we will be liable for your losses or damages. However, neither the bank nor our service provider will be liable under the following circumstances:
- If through no fault of ours, you do not have enough money in your account to make the transfer.
- If the transfer would go over the credit limit on your overdraft line.
- If the Worthington Online computer system was not working properly and you knew about the breakdown.
- If your account has been closed.
- If you have not followed instructions on how to make a transfer, or have not completed all steps required to complete a transaction.
- If the bank is in receipt of a garnishment, IRS levy, or court order that would take precedence over the transfer of funds.
- If our agent or we reasonably believe that a transaction is unauthorized.
- If circumstances beyond our, or our agent’s, control prevent making a transfer, despite reasonable precautions that we have taken. Such circumstances include, but are not limited to computer failure, telecommunications or electrical outages, and natural disasters, such as fire, flood, etc.
- Other exceptions may apply as stated in our other applicable product or account agreements.
We will use commercially reasonable effort to perform all of the services that we provide to you via Worthington Online and using our third party agent for Bill Pay. We will not be liable to you; however, for any damages greater than the amount of any fees paid to us by you in connection with Worthington Online, use of our Bill Pay Service and this Agreement, and in no event will we be liable to you for any consequential damages.
- Error Resolution Notice
In Case of Errors or Questions about your Electronic Transfers or if you think your statement is wrong or if you need more information about a transfer listed on the statement, Telephone us at (800) 239-8562 or Write us at: Worthington Federal Bank, 4040 Balmoral Drive, Huntsville, AL 35801 as soon as you can. We must hear from you no later than 60 days after we sent the FIRST statement on which the problem or error appeared. Tell us your name and account number. Describe the error or the transfer you are unsure about, and explain as clearly as you can why you believe it is an error or why you need more information. Tell us the dollar amount of the suspected error.
If you tell us orally, we may require that you send us your complaint or question in writing within 10 business days.
We will determine whether an error occurred within 10 business days after we hear from you and will correct any error promptly. (Note: the applicable time period is 20 business days if the notice of error involves an electronic fund transfer to or from an account within 30 days after the first deposit to the account was made.) If we need more time, however, we may take up to 45 days to investigate your complaint or question. (Note: the applicable time period is 90 days if the notice of error involves an electronic fund transfer: (i) to or from an account within 30 days after the first deposit to the account was made; or (ii) that was not initiated in the United States.) If we decide to do this, we will credit your account within 10 business days for the amount you think is in error, so that you will have the use of the money during the time it takes us to complete our investigation. If we ask you to put your complaint or question in writing and we do not receive it within 10 business days, we may not credit your account.
We will tell you the results within three business days after completing our investigation. If we decide that there was no error, we will send you a written explanation and will reverse any credit which was made. You may ask for copies of the documents that we used in our investigation.
- Customer Responsibility
You are responsible for all transactions you authorize under this Agreement. If you permit others to access your accounts through Worthington Online by providing your Access ID or Password to others, you are responsible for any transaction they authorize.
- Performance of Computer Systems or Data
- Liability for Loss of Data or Erroneous Data
Each party will bear the liability or risk of any error or loss of data, information, transactions or other losses which may be due to the failure of their respective computer systems or a failure of the equipment, software, or services of any third party on which either party may rely, such as internet service providers and internet browsers. We shall have no liability to you for any damage or other loss, direct or consequential, which you may incur by use of your computer system.
- Interruptions in Service
We may on a regular basis perform maintenance on our equipment or system which may result in interrupted service or errors in service. We will attempt to notify you of such interruptions and changes, but cannot guarantee that such notice will be provided.
- Performance of Electronic Service
In no event will we or our officers, directors, employees, or agents be liable to you for any consequential, incidental, or indirect damages arising out of the use, misuse, or inability to use the Worthington Online service, or for any loss of any data, even if we have been informed of the possibility of such damages. We make no warranty of fitness for a particular purpose in connection with Worthington Online.
- Harm to Computer Systems/Data
You agree that we shall not be liable for any direct, indirect, incidental, or consequential damages which may result from any viruses or other harmful components that may enter your computer system by downloading information or other materials from our website.
- Miscellaneous
- Amendments:
We may amend this Agreement (including changes in fees) by giving notice to you at least 30 days before the effective date of the amendment, unless (i) such change or amendment is otherwise required by law or application of regulation, or (ii) if an immediate change to the terms and conditions of this Agreement is necessary to maintain or restore the security of your account(s) or the Worthington Online system. Your continued use of Worthington Online acknowledges your agreement to the amendments.
- Assignments:
We may assign our rights and delegate our duties under this Agreement to another party at our sole and absolute discretion.
- Termination:
- Either you or we may terminate this Agreement and any service provided hereunder at any time by giving written notice of termination to the other party at least 10 business days prior to such termination. When we act upon your termination notice we will make no further transfers between your accounts, and your enrollment in Bill Pay is also terminated (if applicable) and we will make no further preauthorized payments on your behalf.
- We may immediately terminate your Worthington Online privileges, including Bill Pay, without notice to you under the following conditions: in the case of suspicious or fraudulent use of Worthington Online services by any party; you do not pay any fee required under this Agreement when due; you do not comply with the agreement governing your deposit or loan account; or your account(s) are not in good standing.
- When Bill Pay is terminated, any preauthorized bill payments will be discontinued immediately. Your final charge for Bill Pay, if any, will be assessed at the end of your statement cycle.
- Notices:
Unless otherwise required by law, we may send you any notice or written communication related to Worthington Online and Bill Pay, or to this Agreement, electronically.
